1 Definitions & Interpretation
In this agreement the following expressions shall have the following meanings:
“Agreement” using a Parcel Point as the delivery address and signing for receipt of the Parcel, and the terms and conditions to the Service
“Charge” the amount payable by the Customer per Parcel to the Parcel Points Partner in respect of the Service as set out on the Parcel Point UK website
“Customer” the person requesting a Parcel Point to take delivery of the Parcel using the Service
“Customer Receipt” the document signed by the Customer upon collection of the Parcel at the Parcel Point
“Customer Representative” a third party authorised by the Customer to collect the parcel on behalf of the Customer and whose details will be supplied by the Customer to the chosen Parcel Point
“Evidence of Posting” any signed documentation, which Parcel Points UK shall from time to time accept as evidence that the Parcel has been delivered to the Parcel Point
“Franchise Agreement” an agreement signed between Parcel Points UK and a Parcel Points Partner
“Parcel” an item or parcel which is intended to be received by the Parcel Points Partner for collection by the Customer
“Parcel Point” premises designated by Parcel Points UK being a secure collection address and being the address to which the Parcel is to be delivered and stored pending collection by the Customer
“Parcel Points Partner” the franchisee operating a Parcel Point under the terms of a Franchise Agreement
“Parcel Points UK” the franchisor, Parcel Points UK Limited, Company registration number 06169295 whose registered office is at 69/75 Lincoln Road Peterborough PE1 2SQ
“Prohibited Parcel” Items having a value greater than £500.00; parcels weighing in excess of 20kg.; parcels exceeding 1.2 metres in length; parcels having a combined length and girth of 3 metres (girth being measured at the thickest point); firearms and explosives including ammunition; compressed gas; infectious substances; living creatures of all descriptions; controlled waste and special waste; petro-chemicals & hydro-carbons; any items which it would be unlawful to accept and store at the Parcel Point; such other items as may from time to time be specified on the Parcel Points UK website as being Prohibited Parcels
“Proof of Identity” such means of identification as shall be acceptable to Parcel Points UK from time to time including valid UK passport or drivers licence
“Service” the provision of delivery/collection points as set out in Clause 2
“Working Day” Monday to Sunday of any week
2 Service
Parcel Points UK aims to provide the Customer with a network of Parcel Points throughout the United Kingdom. Parcels can be left by delivery companies and individuals at a specified Parcel Point of the Customer’s choice for later collection by the Customer at a convenient time. Parcel Points UK will not accept delivery of Prohibited Parcels.
Each Parcel Point will be an existing business with long hours of trading. The Parcel Point will be regulated under the strict terms of the Franchise Agreement. The Service will operate in accordance with the terms and conditions and the provisions of the Scheme.
3 Parcel Point UK and Parcel Points Partner Obligations
3.1 Parcels (other than Prohibited Parcels) will be accepted at and collected from a Parcel Point designated by the Customer.
3.2 The Parcel Points Partner will accept parcels from delivery companies and individuals throughout the Working Day during the hours that the Parcel Point Partner is open for business unless otherwise specified by the Parcel Point Partner.
3.3 The Parcel Points Partner will store the Parcel in a secure area to await collection by the Customer.
3.4 Should the Parcel Point be unable to receive a Parcel, provided that the delivery company/courier details have been left, the Parcel Points Partner will contact the courier to arrange re-delivery.
3.5 Upon collection of the Parcel by the Customer or the Customer Representative, the Parcel Points Partner will check Proof of Identity and obtain a signature from the Customer or Customer Representative acknowledging collection of the Parcel, which shall be conclusive evidence that the Parcel has been collected by or on behalf of the Customer.
3.6 The Parcel Points Partner will hold any Parcel awaiting collection for a period of twenty-eight days from delivery of the item to the Parcel Point. During the twenty-eight day period the Parcel Points Partner will use its reasonable endeavours to contact the Customer. If it is not possible to identify or contact the Customer within the 28 day period, Parcel Point UK reserves the right to dispose of the Parcel. Parcel Points UK may in its absolute discretion return the Parcel to the original sender (if details are available) at the Customer’s cost.
3.7 The Parcel Point Partner may refuse to accept a Parcel if it appears damaged or appears to be a Prohibited Parcel.
4 Customer Obligations
4.1 By using the Service the Customer confirms that they have read and accepted the Terms & Conditions.
4.2 The Customer shall pay the Parcel Points Partner the Charge in respect of each Parcel on collection of the Parcel. All charges, rates and prices in the agreement are inclusive of Value Added Tax at the standard rate.
4.3 The Customer shall comply with all Parcel Points UK requirements as set out on the Parcel Points UK website.
4.4 The Customer shall arrange collection of the Parcel as soon as practicable but in any event within the 28 day period referred to in clause 3.6
4.5 The Customer shall for all purposes be treated by Parcel Points UK and the Parcel Points Partner as the sole beneficial owner of the Parcel and it is agreed that if any third party shall make any claim against Parcel Points UK or the Parcel Points Partner arising from this agreement whether arising out of any negligence, breach of duty or other wrongful act or omission by Parcel Points UK or the Parcel Points Partner or otherwise in respect of any loss or damage outside or beyond the liability of Parcel Points UK to the Customer under this agreement, then the Customer shall indemnify Parcel Points UK and the Parcel Points Partner against such claim and all costs arising as a result thereof
4.6 The Customer shall not request delivery of any Prohibited Parcel under the terms of this agreement. If the Customer does request delivery of any Prohibited Parcel in breach of this clause, then the Customer shall indemnify Parcel Points UK and the Parcel Points Partner against all costs claims liabilities and expenses incurred or suffered by Parcel Points UK or the Parcel Points Partner as a result of such breach.
5 Liability & Compensation
In the event of loss of/or damage to a Parcel whilst at a Parcel Point, total liability shall be limited to the maximum amount of the value of the Parcel, to a maximum of £500.00. The Customer must provide reasonably acceptable evidence of value to Parcel Points UK within 7 days of collection of the Parcel by the Customer.
6 Force Majeure
If due to circumstances beyond Parcel Points UK control, such as outbreak of war, government policy or a situation such as industrial strike, lockout or stoppage and whether any of the said circumstances described in this clause are partial or general and for a period Parcel Points UK is unable to perform or refuses to perform it’s obligations under this agreement then Parcel Points UK cannot accept any liability for any loss or damage suffered.
7 Unfair Contract Terms Act 1977
Where the Customer deals with Parcel Points UK as a consumer the provisions of this agreement shall not affect the Customer’s rights under the Unfair Contract Terms Act 1977
8 Entire Agreement
The terms set out or referred to in this agreement shall constitute the entire agreement between the parties and shall supersede the provisions of any previous contract warranty or representation made or given relating to the provision of similar services
9 Applicable Law
The agreement shall be governed by and construed in accordance with English Law and the jurisdiction of the English Courts.
9.1 Parcel Points UK may vary the service specifications, including charges, upon giving to its customers, fourteen days notice.
